Terms of Service.

All work is scoped in a written proposal or statement of work ("SOW") signed by both parties. The SOW takes precedence over these Terms where they conflict. Fixed-scope engagements (e.g. The AI Audit at $499, 30-day MVPs) are delivered against the deliverables listed in the SOW. Out-of-scope work is quoted separately.

Fixed-price engagements are billed 50% at kickoff and 50% at delivery unless otherwise noted in the SOW. Recurring or hourly engagements are billed monthly. Invoices are due within 14 days. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. We reserve the right to pause work on unpaid accounts.

Deliverables are considered accepted 7 days after handover unless you notify us in writing of specific defects or scope deviations within that window. We provide 14 days of post-delivery support for reasonable bug fixes on our code. Support beyond that is a separate engagement.

Upon full payment, you own the deliverables produced specifically for your engagement — the source code, designs, and documents. We retain ownership of our pre-existing tools, libraries, methodologies, frameworks, and internal templates ("Background IP"), and grant you a perpetual, royalty-free license to use them as embedded in your deliverables. We may reference the engagement (name, logo, non-confidential outcome) in our portfolio unless the SOW says otherwise.

Each party will keep the other's non-public information confidential and use it only to perform the engagement. Confidentiality survives termination for 3 years. It does not cover information that is public, independently developed, or lawfully obtained from a third party.

We warrant that our work will be performed in a professional and workmanlike manner consistent with industry standards. Beyond that, deliverables are provided "as is." We do not warrant that software will be error-free, uninterrupted, or fit for a specific purpose beyond what is documented in the SOW.

Our total liability for any engagement is limited to the fees paid for that engagement in the 3 months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility.

Engagements often involve third-party services (OpenAI, Anthropic, Supabase, Vercel, Stripe, etc.). You are responsible for accepting their terms directly and for paying their usage fees. We are not responsible for their outages, changes, or discontinuation.

Either party may terminate an engagement for material breach with 14 days' written notice, if the breach isn't cured. Upon termination, you pay for work performed to date and we deliver work-in-progress in its then-current state. Sections that by nature should survive (payment, IP, confidentiality, liability) survive termination.

These Terms are governed by the laws of the jurisdiction in which Augere Labs is registered. Any dispute will be resolved first by good-faith negotiation, then by binding arbitration in that jurisdiction if negotiation fails.

We may update these Terms. Changes apply to new engagements from the date of the update. Existing engagements are governed by the version of the Terms in effect when the SOW was signed.
